Sponsorship Agreement Letter

This Sponsorship Agreement (the "Agreement") is entered into on [Date] by and between [Sponsor's Name], with a business address of [Sponsor's Address] ("Sponsor") and [Sponsored Party's Name], with a business address of [Sponsored Party's Address] ("Sponsored Party").

WHEREAS, the Sponsored Party is seeking sponsorship for an event, project, or program ("Event") and Sponsor is willing to provide such sponsorship under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

SPONSORSHIP

1.1 Sponsor agrees to sponsor the Event in the following manner:

1.2 Sponsor will provide financial support in the amount of [Dollar Amount] to the Sponsored Party for the purpose of the Event.

1.3 Sponsor will have the right to use its name, logo, and other identifying marks in connection with the Event.

1.4 The Sponsored Party will provide Sponsor with recognition as a sponsor of the Event in all promotional and marketing materials, including but not limited to, press releases, advertisements, brochures, and signage.

TERM

2.1 The term of this Agreement will commence on [Date] and will terminate upon completion of the Event, unless terminated earlier as provided herein.

TERMINATION

3.1 This Agreement may be terminated by either party upon [Number of Days] days written notice to the other party.

3.2 If either party breaches this Agreement, the non-breaching party may terminate this Agreement upon written notice to the breaching party.

REPRESENTATIONS AND WARRANTIES

4.1 Sponsor represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder.

4.2 Sponsored Party represents and warrants that it will use Sponsor's sponsorship funds solely for the purpose of the Event.

INDEMNIFICATION

5.1 Sponsor agrees to indemnify, defend, and hold harmless the Sponsored Party from any and all claims, damages, or expenses arising out of Sponsor's use of its name, logo, or other identifying marks in connection with the Event.

5.2 Sponsored Party agrees to indemnify, defend, and hold harmless Sponsor from any and all claims, damages, or expenses arising out of Sponsored Party's use of Sponsor's sponsorship funds.

MISCELLANEOUS

6.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

6.2 This Agreement may not be amended or modified except in writing signed by both parties.

6.3 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

6.4 This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without giving effect to any choice or conflict of law provision or rule.

6.5 This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
